Terms of Service

1. Agreement to Terms

By downloading, accessing, or using Zealel ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you and Primelife Management LLC, doing business as Zealel ("we," "us," or "our"). We may update these Terms from time to time, and your continued use of the App constitutes acceptance of any changes.

2. Eligibility

To use Zealel, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable law

By using the App, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access certain features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Partner Connections

Zealel allows you to connect with a partner to use relationship features together. By connecting with a partner:

• You consent to sharing certain data with your connected partner
• You acknowledge that your partner will see shared content (moods, memories, game answers)
• You can disconnect from your partner at any time through settings
• Disconnection does not automatically delete previously shared data

5. Acceptable Use

You agree to use Zealel only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App to harass, abuse, or harm another person
• Impersonate any person or entity
• Upload content that is illegal, harmful, threatening, or objectionable
• Attempt to gain unauthorized access to our systems
• Use the App for commercial purposes without permission
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble any part of the App
• Use automated systems or bots to access the App
• Violate any applicable laws or regulations

6. AI-Powered Features

By using AI features, you acknowledge that:

• AI responses are generated by algorithms and may not always be accurate or appropriate
• AI is not a substitute for professional mental health services
• You should seek professional help for serious relationship or mental health issues
• We do not guarantee specific outcomes from using AI features
• AI session data is processed by OpenAI solely to generate responses and is not used to train AI models

7. User Content

You retain ownership of content you create and upload to Zealel ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely as necessary to provide and operate the App's services.

You are solely responsible for your User Content and represent that:

• You own or have the necessary rights to the content you share
• Your content does not violate any third-party rights
• Your content complies with all applicable laws

We reserve the right to remove User Content that violates these Terms.

8. Subscriptions and Payments

Zealel may offer premium features through paid subscriptions. If you purchase a subscription:

• Payment will be charged to your Apple App Store or Google Play Store account at confirmation of purchase
• Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price unless you cancel at least 24 hours before the end of the current billing period
• You can manage and cancel your subscription at any time through your device's app store account settings
• Cancellation takes effect at the end of the current billing period; you will retain access to premium features until then
• Refunds are subject to Apple App Store or Google Play Store refund policies
• Prices may change with at least 30 days' notice before your next renewal date
• Free trial periods, if offered, will automatically convert to a paid subscription unless cancelled before the trial ends
• No refund will be issued for the unused portion of a subscription period

9. Intellectual Property

The App, including its design, features, code, and content (excluding User Content), is owned by Primelife Management LLC and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App or its content without prior written permission
• Use our trademarks, logos, or branding without authorization
• Remove any proprietary notices from the App

10. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers

We do not warrant that:

• The App will be uninterrupted, timely, or error-free
• Defects will be corrected in any particular timeframe
• The App is free of viruses or harmful components
• Results from using the App will meet your expectations
• AI-generated content will be accurate, complete, or appropriate for your situation

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIMELIFE MANAGEMENT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP.

Our total aggregate liability for all claims arising from or related to the App shall not exceed the amount you paid to us for the App in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Primelife Management LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

14. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the App ceases immediately
• You may request deletion of your data per our Privacy Policy
• Provisions that should survive termination (including Sections 7, 11, 12, 13, 15, and 16) will remain in effect

You may terminate your account at any time through the App's settings (Settings → Privacy & Security → Delete Account) or by contacting us at support@zealel.com.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

• Informal Resolution: You agree to contact us first at legal@zealel.com to attempt to resolve any dispute informally for at least 30 days before initiating arbitration.
• Binding Arbitration: If informal resolution fails, any remaining dispute shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the State of Florida.
• Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.
• Small Claims Exception: Either party may bring an individual action in small claims court if the claim falls within that court's jurisdiction.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms in the App
• Updating the "Last Updated" date
• Sending a push notification for significant changes

Your continued use of the App after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

19. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Primelife Management LLC regarding your use of the App and supersede all prior agreements or understandings.
